Zhejiang Furun (600070): Furun Group Plans To Transfer 9% Of Its Shares To Guoxin Chengzhi
Zhejiang Furun (600070. SH) announced that on August 17, 2021, Guoxin Huaxia Information System Group Co., Ltd. (Guoxin Huaxia), Zhejiang Guoxin Chengzhi Information Technology Co., Ltd. (Guoxin Chengzhi) and Furun Holding Group Co., Ltd. (Furun group or transferor) signed the acquisition agreement on share acquisition of the company, Furun group plans to transfer 46.98 million shares (9% of the total share capital of the listed company) held by Furun group to Guoxin Chengzhi, with the transfer price of RMB 8.411/share.
If the share transfer is carried out smoothly, Furun group and Huifeng venture capital will still hold 15.24% of the company's equity. According to the framework agreement on share transfer signed by Furun group and Guoxin Huaxia on June 9, 2021 and the acquisition agreement signed by relevant parties on August 17, 2021, after the relevant parties complete the share transfer, the voting power entrustment agreement will be signed after the relevant parties complete the share transfer, so as to introduce strategic resources to the listed company with the help of the transferee and its related parties, As well as the relevant arrangements of the voting rights entrusted by Furun group to the transferee. At that time, the number of voting shares held by Furun group will be lower than that of the transferee, and the control right of the company will change.
