1、 Party A authorizes Party B to sell Lyco Clothing.

2、 Party A shall take 40% or 50% of the national unified retail price of goods as the settlement price of Party B, and issue a VAT invoice. The freight shall be borne by Party B, and Party A shall handle the transportation procedures. The transportation within the city shall be undertaken by Party A.

3、 Party B orders the goods according to the sample by itself, and will not return or replace the goods after delivery. In case of any quality problem, Party B shall notify Party A within three days after the arrival of the goods and send it back to Party A for identification. It will not be handled after the expiration of the time limit.

4、 During the distribution period in this area, Party B shall maintain Party A's brand image, not damage Party A's interests, and do a good job in quality service and after-sales service.

5、 Party A's authorization period is half a year. After Party A's assessment of Party B's sales performance, it will negotiate to develop renewal procedures, or change to a chain store.

6、 In the following cases, Party A may terminate this Agreement without the consent of Party B, and Party B shall bear all responsibilities:

1. Violation of this Agreement.

2. The payment for goods cannot be made in time.

3. Provide best-selling products for imitation in the same industry.

4. External promotion and other advertisements shall be implemented without the prior consent of Party A.

5. If Party B violates the above regulations and the oral advice is invalid, it will send a written notice to correct within a time limit. If it still does not want to correct, Party A will notify Party B by letter to terminate this agreement.

7、 When the agreement expires, the obligations of both parties will be automatically terminated.

8、 During the agreement period, if there is any objection, both parties shall solve it through negotiation. If both parties fail to reach an agreement through consultation, they can file a lawsuit in the competent court at the place where the contract is signed.

In accordance with the Contract Law of the People's Republic of China and other relevant laws and regulations, and on the principle of equality, voluntariness, mutual benefit, both parties have fully and amicably negotiated the following agreement:

1、 Operation authority of the agency area

1) Party A agrees to grant Party B the distribution right of _____________ brand women's clothing in _______.

2) Party B shall not transfer without authorization. Without the authorization and consent of Party A, Party B shall not sell ____________ brand women's clothing beyond the scope of authority, and Party A shall not authorize others to sell products of the same brand in the same region.

2、 Security deposit (agency fund)

1) After both parties sign the contract, Party B must remit the deposit and advance payment for goods to the bank account designated by Party A within seven days before the contract comes into effect. If Party B's payment fails to reach the account designated by Party A within seven days, it will be deemed as Party B's automatic waiver, and Party A has the right to cancel the contract. 2) When the contract expires, Party B will not renew it: according to the provisions of Clause 8 of the contract, Party B will return the deposit to Party B without interest for 30 days without any liability for breach of contract. 3、 Party A's responsibility

1) Be responsible for design and provide decoration drawings (the design cost is calculated by _________ yuan per square meter)

2) Party A is obliged to assist Party B in arranging training and guidance for its business personnel, and the relevant expenses shall be borne by Party B.

4、 Responsibilities of Party B

1) Decoration: according to the design scheme and display plan provided by Party A, Party B shall customize the props, decorate the shop or counter in an all-round way and meet our requirements (take photos and express them to Party A's company), and Party B shall be responsible for the expenses.

2) Communication: Party B must provide Party A with a detailed communication address, a copy of his/her ID card, telephone number, fax number, contact person, and the specific address and contact number of the franchise store and counter.

3) Valid certificate: Party B must provide a copy of Party A's valid business license and tax registration certificate. Party B's place of business must hang the brand __________ in a conspicuous place. Party B shall not sell other brands of clothing in its stores.

4) Every Monday, Party B shall fax the sales report of the previous week to Party A so that Party A can understand the market information and sales trends.

5) Party B's sales shall be based on the price of Party A's goods, and shall not replace or alter the label of Party A's goods.

5、 Settlement method

1) If Party B requires shipment and additional payment, Party A shall assist Party A to deliver the goods. Party A has the right not to accept any oral addition or any additional order that does not meet the requirements in other forms, such as telephone calls. The validity period of the additional order is 20 days from the date of receipt of the additional order by the company, and if it needs to be extended, it shall be specified in the deadline.

2) The supply discount of Party B is _______% of the retail price of relevant goods (the above price is the price excluding tax)

6、 Return method

1) Quality problems: After receiving the goods, if Party B finds any quality problems, it shall notify the business department of the company in the form of fax within three days. If it does not notify at that time, it shall be regarded as genuine, and the company will not be responsible for any damage. And return within 10 days (the date shall be subject to the parcel ticket of the goods received and sent), and Party A shall exchange the goods unconditionally.

2) Serial number problem: Party B raises an objection within three days after receiving the goods, and Party A has the right not to accept it if it is overdue.

3) Return and exchange: Party B can transfer the goods within the return rate agreed in the contract (under the premise of non quality reasons, the same price, same color, and the same code shall not exceed 5 pieces in total). The returned goods must be intact (including tags) within a period of one month (the date is subject to the parcel ticket of the goods received and sent), without stains, which will not affect the resale of the goods; otherwise, Party A has the right to refuse to accept.

7、 Default clause

1) Both parties must strictly abide by each clause in the contract. If either party breaches the contract, the defaulting party must pay the other party the full amount of the security deposit as the default payment.

2) In addition to the contract termination clauses in the contract, if either party terminates the contract arbitrarily without proper reasons, the defaulting party may pay the other party the full amount of the deposit as liquidated damages.

8、 Termination of Contract

If Party B has one of the following conditions, Party A has the right to terminate this contract:

1) During the operation period, Party B acts against Party A's reputation, credit and economy.

2) Party B conducts cross regional business without Party A's consent.

3) Party B's improper operation leads to the closure, suspension, merger and transfer of business.

4) When the contract term expires or either party proposes to terminate this contract, it must notify the other party in writing one month in advance.

9、 Dispute resolution

1) Matters not covered in this contract shall be settled by both parties through negotiation.

2) If this contract involves litigation, both parties agree that the people's court where Party A is located shall be the first court of jurisdiction.

5、 Payment method

1. After payment by Party A, Party B must provide ordinary invoices.

2. When the contract comes into effect, Party A shall pay a deposit of ________% of the total contract amount, i.e. RMB ________; After Party B has delivered all the goods, Party A shall pay ________% of the total contract amount, that is, RMB ________; In addition, ________% of the total contract amount, i.e. RMB ________, is reserved as the quality and maintenance deposit. 6、 Liability for breach of contract

1. During the performance of the contract, the failure of either party to perform any provision of the contract shall be deemed as breach of contract, and the breaching party shall pay all losses caused by the breach of contract.

2. Party B must deliver the goods on time, and Party A must make payment on time. If the delivery is delayed due to Party B's reason or the payment is delayed due to Party A's reason, Party B shall bear the liquidated damages of ________ ‰ of the total contract amount on a daily basis.

7、 After sales service

1. The clothing warranty period is ________ days. During the warranty period, Party B provides Party A with free modification services.

2. Party B shall provide convenience for Party A to add or modify clothes at any time.

3. Party A will make up the clothing in the future. If the whole set of clothing is made up, the fee will be charged according to the whole set price in the quotation. If the single piece of clothing is made up, the fee will be charged according to the single piece price in the quotation.

8、 Contract dispute resolution

1. Any dispute arising from this contract shall be settled by both parties through friendly negotiation.

2. Any dispute arising from or in connection with this Contract shall be arbitrated by Shenzhen Arbitration Commission.

3. The cancellation of any change shall take effect only after both parties agree and sign a written opinion.

9、 In case of any amendment or supplement to this contract, it must be signed by the authorized representatives of both parties and regarded as an integral part of the contract, which has the same effect as the text of the contract.

10、 Once this contract is signed, both parties shall strictly abide by and perform it, and it shall become legally effective after being signed and sealed by both parties.

11、 This contract is made in quadruplicate, with each party holding two copies, which have the same legal effect.
